Sounds like it's doing exactly what it is supposed to. The final stages of the shutdown are different with and without that overlay.
The overlay expects that power will be cut by an external device once the pin goes active. If it isn't you usually see a kernel panic after the timeout expires. But you might not see that if you have the splash screen enabled (it'll still be happening though).
